For Amazon, Shopify and marketplace sellers
Set up your store's company right.
Entity, EIN, sales tax and books, with every deadline handled. $0 to form, state fee at cost.
Everything a new seller account asks for, in the company's name.
- ✓
The right structure
Usually an LLC in your home state, not Wyoming or Delaware. If an S-corp election would save you tax, we show the breakeven.
- ✓
EIN, bank-ready documents
Formation papers, operating agreement and EIN in the company's name, so marketplace verification matches.
- ✓
Sales tax, sorted
Which states you register in, what the marketplaces already collect for you, and your resale certificate for buying inventory.
- ✓
Books that match your payouts
A setup that records gross sales and every fee, so your margins and your taxes are right.
- ✓
Every deadline, handled
Annual reports, franchise tax and renewals on one calendar. With Plus we file them for you.
Seller questions
Do I need an LLC to sell on Amazon?+
No, you can sell as an individual. An LLC keeps a product claim or a supplier dispute away from your personal savings, and keeps your seller account separate from you.
Should I form in Wyoming or Delaware?+
Usually not. You'd still register in the state you live in and pay both states every year. We recommend another state only when there's a real reason, and show you the cost.
Do Amazon, Walmart and Etsy collect sales tax for me?+
Yes, on orders through their marketplace in every state with a sales tax. Sales through your own site or wholesale are yours to collect, starting in your home state.
What about FBA inventory in other states?+
Inventory sitting in another state's warehouse can mean filings there. We flag it in your plan; have a CPA look once sales grow.
Is this legal or tax advice?+
No. Incorra prepares and files documents at your direction and explains the tradeoffs with real numbers.
